Terms of Service

Startups Compass is rolling out in stages. As of the date above, the only live, active functionality is the free waitlist described in Section 4 — paid subscriptions have not launched yet. These Terms are written as the complete, standing terms for the product as a whole, so that everything described below — accounts, subscriptions, acceptable use — applies as each feature goes live, without needing to be rewritten. Where something isn't active yet, that's noted inline.

1. Who we are

Startups Compass™ ("we", "us", "our") operates startupscompass.com and the Startups Compass application: a fundraising CRM and cap table / dilution calculation tool built for startup founders. Contact: info@startupscompass.com.

2. Acceptance of these Terms

By accessing this website, joining the waitlist, creating an account, or using the Startups Compass application, you agree to be bound by these Terms and by our Privacy Policy. If you're accepting on behalf of a company, you confirm you have the authority to bind that company. If you don't agree, don't use the site or the app.

3. Eligibility and accounts

The Service is intended for business use by startup founders and their teams, not for personal consumer use. You must be at least 18 years old and able to form a binding contract to use the Service.

3.1 One subscription per company

Each subscription covers one company. If you're raising for multiple, separate companies, each requires its own subscription — sharing a single subscription across unrelated companies isn't permitted.

3.2 Account accuracy

You're responsible for the accuracy of the information you provide when registering (including your email address) and for keeping your login credentials confidential once accounts exist. You're responsible for all activity that happens under your account.

4. The waitlist

This is the part of the Service that is live today. Joining the waitlist requires a valid work email address (we don't accept personal email providers such as Gmail, Outlook, Yahoo, etc.) and is free. Joining the waitlist does not create a paid account and does not guarantee access to the app. The first 50 people to join lock in a discounted "launch price" for as long as they remain a paying subscriber once paid access is available; everyone who joins later is offered the regular price. Along with your email and optional name, we automatically collect some technical/meta information needed to operate the waitlist and to keep a record of your consent (such as your browser's language, your IP address at signup, and the page you signed up from) — see Section 2 of our Privacy Policy for the full list. We may close or reopen waitlist registration at any time, at our discretion, and without prior notice.

5. The Service

Once your account is active, the Service lets you: track investors and manage a fundraising pipeline by stage; set and receive follow-up reminders; record strategic partnerships, tasks, and monthly costs; build a multi-round capitalization table including SAFEs, convertible notes, option pools, and priced rounds; and run exit waterfall simulations. We may add, change, or remove individual features over time; we'll aim not to remove core functionality you're actively paying for without reasonable notice.

6. Your data and local storage

The application stores your App Data locally in your own web browser, not on our servers. As a result:

This design is deliberate, not a limitation we plan to remove: it means your business data — investor names, deal terms, cap table — never has to leave your own machine.

7. Subscriptions and billing

Not active yet as of the date above — this section describes how billing will work once paid plans launch.

Subscriptions are billed on a recurring basis (monthly or annual, your choice) and renew automatically at the end of each billing period until cancelled. Then-current pricing, billing frequency, and any trial period will be displayed clearly before you're charged. Annual pricing is set at 10 months' worth of the monthly price (two months free compared to paying monthly).

Payments are processed by Paddle.com Market Limited ("Paddle"), which acts as our authorized reseller and merchant of record. This means Paddle — not us — is the seller of record for your subscription: Paddle bills you, collects payment, handles applicable sales tax/VAT, and is the merchant your payment appears under on your card statement. We don't store or process your full payment card details ourselves; see Section 3 of our Privacy Policy for how Paddle handles your payment data.

The first 50 accounts to join the waitlist are entitled to a discounted subscription price for as long as they remain continuously subscribed. If a discounted subscriber voluntarily cancels and later resubscribes, the discount is not guaranteed to still apply — the then-current regular price may apply instead. A temporary lapse caused by a failed or expired payment method (rather than a deliberate decision to cancel) is not treated as a voluntary cancellation, and we'll make reasonable efforts to let you update your payment details and resume at your discounted price before treating the subscription as cancelled. Specifically, we'll notify you of the failed payment and hold your discounted status for 14 days while you update your payment method, before treating the subscription as cancelled.

8. Cancellation and refunds

Not active yet — describes the policy once billing launches.

You can cancel your subscription at any time from within your account settings. Cancelling turns off auto-renewal but does not end your current billing period early — you keep access, and are not refunded, for the period you've already paid for, whether monthly or annual, except where required by applicable law. For example, if you subscribe (monthly or annual) and then cancel even a day later, you keep access until that period ends but won't receive a refund, and won't be charged again after it ends. New subscriptions include a 14-day free trial; you won't be charged until it ends unless you cancel first. Starting a trial requires entering a payment method upfront; if you don't cancel before the trial ends, billing begins automatically at the price stated at signup.

9. Acceptable use

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to our systems or another user's account or data; reverse-engineer, scrape, or resell the Service without our permission; interfere with or disrupt the Service's operation; upload malicious code; or misrepresent your identity or company affiliation when registering.

10. Not professional advice

Startups Compass is a planning and management tool only. Nothing in the app or on this site constitutes legal, financial, tax, or investment advice. Cap table and dilution calculations are approximations based on the inputs you provide and standard simplified assumptions — actual SAFE, convertible note, option pool, and term sheet mechanics vary by agreement and jurisdiction. Always consult a qualified lawyer or accountant before relying on these numbers for an actual transaction. Startups Compass is not a registered broker-dealer, investment advisor, or equity crowdfunding platform.

11. Intellectual property

The Startups Compass name, logo, branding, website, and application code are our property or used under license, and are protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes while your account is active. Your own business data that you enter into the app remains yours; we claim no ownership over it. You may not copy, modify, distribute, or create derivative works of the Service's code or interfaces, except as this license permits. "Startups Compass" and our logo are our trademarks; you may not use them without our prior written permission.

12. Suspension and termination

You may stop using the Service, or delete your waitlist entry, at any time by contacting us. We may suspend or terminate access to the Service for anyone who materially breaches these Terms (in particular Section 9), with notice where practical. Because your app data lives in your own browser and not on our servers, termination of your account does not, by itself, delete or affect data already stored locally on your device — you retain whatever local copies and backups you've made.

13. Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or business, arising from your use of or inability to use the Service — including data loss related to the local-only storage design described in Section 6. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or 100 USD if you haven't paid us anything. These limitations apply only to the extent permitted by applicable law and do not exclude liability that cannot lawfully be limited or excluded (for example, in cases of gross negligence, willful misconduct, or personal injury).

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Service. We'll give you prompt notice of any such claim and reasonably cooperate, at your expense, with your defense of it.

15. Changes to these Terms or the Service

We may update these Terms as the Service evolves — most notably as paid subscriptions and billing go live. We'll update the "Last updated" date above when we do, and for material changes we'll make reasonable efforts to notify active users (for example, by email to your registered address and/or a notice on the site or in the app). Continued use of the Service after changes take effect means you accept the updated Terms. We retain prior versions of these Terms and will provide a copy on request.

16. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, Israel.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
