Terms of Service

Last updated: October 11, 2026

It is sold as a subscription — one plan at $19.90/month or $199/year (EUR 19.90/month or EUR 199/year) — and an account's first subscription starts with a 14-day free trial (Section 7). Payments are taken by Paddle, our merchant of record; nothing is charged to an account that has no subscription.

1. Who we are

Startups Compass™ ("we", "us", "our") operates startupscompass.com and the Startups Compass application: a fundraising CRM and cap table / dilution calculation tool built for startup founders. Startups Compass is operated by QUANOMALY LTD (קואנומלי בע"מ), a limited liability company incorporated in Israel. Its company number and registered address are provided on request. Contact: startup@startupscompass.com.

A few terms used throughout these Terms:

2. Acceptance of these Terms

By accessing this website, creating an account, or using the Startups Compass application, you agree to be bound by these Terms and by our Privacy Policy. If you're accepting on behalf of a company, you confirm you have the authority to bind that company. If you don't agree, don't use the site or the app.

3. Eligibility and accounts

The Service is intended for business use by startup founders and their teams, not for personal consumer use. You must be at least 18 years old and able to form a binding contract to use the Service.

3.1 One account per company

Each account covers one company. If you're raising for multiple, separate companies, each needs its own account — sharing a single account across unrelated companies isn't permitted.

3.2 Account accuracy

You're responsible for the accuracy of the information you provide when registering (including your email address) and for keeping your login credentials confidential once accounts exist. You're responsible for all activity that happens under your account.

4. Creating an account

4.1 How an account is created

An account requires a valid work email address (we don't accept personal email providers such as Gmail, Outlook, Yahoo, etc.). Accounts are created by subscribing, or by starting the free trial, as described in Section 7. We may change how registration works at any time and without prior notice.

4.2 What we collect at registration

Along with your email and optional name, we automatically collect some technical/meta information needed to operate registration and to keep a record of your consent (such as your browser's language, your IP address at signup, the page you signed up from, and the campaign tags of the link you followed and the domain of the website that sent you, if any) — see Section 2 of our Privacy Policy for the full list.

5. The Service

Once your account is active, the Service lets you: track investors and manage a fundraising pipeline by stage; set and receive follow-up reminders; record strategic partnerships, tasks, and costs; build a multi-round capitalization table including SAFEs, convertible notes, option pools, and priced rounds; and run exit waterfall simulations. We may add, change, or remove individual features over time; we'll aim not to remove core functionality you rely on without reasonable notice. Where offered, the Cloud plan also includes an optional desktop app, described in Section 6.5.

6. Your data: cloud backup, and keeping it only in your browser

The application runs from your own web browser and your App Data is always stored there as well. Cloud backup is part of your subscription and is on by default: a copy of your App Data is also stored on our servers so that it can be restored. You can turn it off in the app at any time, and the app explains what that means before it does; the price does not change. While it is off, Section 6.1 describes how your data is handled.

Cloud backup is a convenience, and your data is your responsibility. The cloud copy exists so that you can move between computers and so that you do not have to back up by hand each time. It covers only your App Data and the files you attach, and only while your subscription runs and for the 60 days after it ends (Section 8). It is not a guarantee: we do not promise that it is complete, current, uninterrupted or free of errors, and it does not replace the backups you keep yourself. You are responsible for your own backups — use the app's export and the files download regularly and keep the copies on your computer or on an external drive — and for the content of your account, for the decisions you take with it and for whom you give access to it.

6.1 When cloud backup is off

Nothing leaves your browser. As a result:

In Local mode, some of the App Data you enter — for example, an investor's name, email address, or phone number — is personal data about someone else, not you. For that data you are the data controller, not us: you're responsible for having a lawful basis to collect and store it, for how you use it, and for responding if that person contacts you about it. Because this data lives only in your own browser and we never receive, process, or have any visibility into it, we do not act as a controller or a processor for it.

6.2 Cloud backup (on by default)

While Cloud backup is on, the application still runs from your browser exactly as before — your browser remains where you work, and it keeps working if our servers are unreachable. What changes is that a copy of your App Data is also stored on our servers so that it can be restored:

In Cloud backup mode, for the personal data of third parties contained in your App Data — investors and their contact details — you remain the data controller and we act as a processor on your instructions. Your instructions are: store it, keep restore points, restore it when you ask, and delete it when you ask. Our obligations as a processor, and the safeguards we apply, are the commitments in this Section 6 — what we store, where, our access to it, and what we will not do with it — which apply in full and do not depend on any payment.

You remain responsible for having a lawful basis to collect and hold that personal data, for what you do with it, and for responding to the people it concerns. Turning on Cloud backup does not transfer that responsibility to us, and it does not affect those people's rights.

6.3 Files in the cloud

Your subscription includes storage for files you attach to your records — for example contracts, NDAs, term sheets, financial models and presentations — up to the limits stated in the app (currently 2 GB in total and 50 MB per file). If you switch cloud backup off, the files you attach stay on your own computer or drive and are not stored with us.

For the personal data of other people inside your files you remain the data controller and we act as a processor on your instructions, exactly as described for Cloud backup in Section 6.2.

6.4 Read-only viewers

Your subscription includes two viewers, and you can add more (Section 7). A viewer is a person you invite by email, in Settings, to see your account in read-only mode: they cannot change, export or delete anything. A viewer sees all the information in the account, including investors and their contact details, notes, files, costs and the cap table, so invite only people you would show them to. You can remove a viewer at any moment and their access stops at once. For the personal data of third parties in the account you remain the data controller and we act as your processor, as in Section 6.2; showing it to a viewer is your decision and your responsibility, including having a lawful basis to do so. A viewer is not a second user with their own plan: they have an account with us only to see yours (we hold their email address and the fact that you invited them), and it ends when you remove them or your account ends.

6.5 The desktop app and its email connection

What it is. Where offered, the desktop app opens the same Service in its own window on your computer. It needs your account and an active Cloud plan, and it stops working when your plan ends or no longer includes it; the website continues to work as your plan allows. Your App Data stays where this Section 6 says it is.

Licence. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the desktop app on computers you control, only to use the Service under these Terms. You may not copy it (except to install it), modify, reverse engineer, decompile or redistribute it, or remove its notices, except where the law allows this despite this restriction. The desktop app may update itself, and some updates may be needed to keep using it.

The email connection (optional). If you switch it on, the desktop app reads, on your computer and through your email program, the date, direction, addresses (including copies) and subject of your recent emails in the accounts you choose, to add an entry to the history of an investor or partnership whose address you saved, or who writes from their organisation's own email domain, to move its stage forward, and to mark done a task the app made from an email once the email shows it was done (for example a file you sent) (for example from Identified to Sent when you write, and from Sent to Contacted when they reply). If you switch on the built-in AI option (offered where your computer supports it in the language you use the app in), the desktop app reads the text of emails from investors, on your computer and with your computer's own built-in AI, to understand what they say and update the Service by itself: a short summary in the investor's history, a task when they ask for something or a meeting, a follow-up date, the investor's stage (including moving them to Passed when an email reads as a decline), and, when they propose a meeting time, a question asking you whether to add it to your calendar. With the same option, the desktop app can also draft the follow-up, reply or deck emails it prepares for you, from what the Service holds about that investor; you review, change and send them yourself. The email's text is not sent to us or to any AI provider. You can switch the AI off, or the whole email connection, in Settings at any time. It needs the permission your computer asks you to give, and it works only while the desktop app is open. You can switch it off in Settings at any time. It does not change, move or delete anything in your mailbox.

The calendar connection (optional). If you switch it on, the desktop app reads, on your computer, the title, time and invitees of upcoming events in the calendars you choose, to recognise meetings with an investor or partnership, add them to their history, move their stage forward (for example to Meeting scheduled), and remind you before a meeting of what to review. When an email from an investor or partnership proposes a meeting time (with the built-in AI option on), the Service asks you on the Dashboard whether to add it; only if you answer Yes does the desktop app add that one event to your calendar (in a browser, a calendar file is downloaded for you to open), and the record moves to Meeting scheduled. It never changes or deletes anything in your calendar. It can match a meeting to the wrong record, miss one, or read a proposed time wrongly, so check an event before you rely on it; you can switch it off in Settings at any time.

Summaries of your notes (optional). Where your computer's built-in AI is available (in the desktop app) or your browser has its own built-in AI, the Service can, when you ask, summarise the notes and history of an investor or partnership on your computer. The notes are not sent to us or to any AI provider; the summary is kept with that record as part of your App Data, so it is shown wherever you use the Service. The first time, your browser may download its built-in AI from its maker; that is between you and your browser's maker. A summary can be incomplete or wrong and is not advice (Section 10).

No guarantee of completeness. The email connection depends on your computer, your email program and your email providers, which are not ours and can change without notice. We do not guarantee that every email is noticed, that an entry is correct or timely, or that the connection works with every email program, account or computer. History entries, summaries, tasks and the stage changes it makes are an aid, not a record you can rely on, and not advice (Section 10): an email can be matched to the wrong investor, missed, or misread by the AI, you can change or undo any of these at any time, and you are responsible for checking your pipeline.

Emails you send. When you ask for it, the desktop app prepares an email in your email program, for example with your deck attached. You review it and you send it. You are solely responsible for every email you send, its content, its recipients and its attachments, including having the right to share them and complying with confidentiality obligations and with the laws on commercial messages and privacy that apply to you and to your recipients.

Changes. We may change, suspend or stop offering the desktop app or its email connection, in whole or in part, at any time (Section 15). History entries already recorded stay in your App Data.

7. Payment and pricing

Startups Compass is sold as one subscription, billed monthly or annually: $19.90 a month or $199 a year (the annual price is ten months). It includes cloud backup, 2 GB of file storage for the files you attach to your records (up to 50 MB per file), two read-only viewers and the notices described in Section 6.2. Additional viewers are $3.90 a month each, up to five viewers in all. Prices are shown in US dollars or in euros (EUR 19.90 a month or EUR 199 a year; EUR 3.90 per additional viewer); the currency offered first follows your country and you can choose either one before you pay.

Free trial. The first subscription on an account starts with a 14-day free trial; a later subscription on the same account, after an earlier one has ended, is billed from the start. Starting a trial requires a payment method upfront. If you cancel before the trial ends you are not charged at all — not even a prorated amount. If you don't cancel, billing begins automatically when the trial ends, at the price shown to you at signup.

Renewal. Subscriptions renew automatically at the end of each billing period until cancelled. The price is shown before you are charged, and we will tell you by email before any price change takes effect for you.

Changing viewers. Adding a viewer partway through a billing period costs the remainder of that period, prorated; removing one takes effect at your next renewal. Switching cloud backup off does not change the price.

Payments are processed by Paddle.com Market Limited ("Paddle"), which acts as our authorised reseller and merchant of record. Paddle bills you, collects payment, and handles applicable sales tax/VAT; your payment appears on your statement under Paddle. We do not store or process your full card details — see Section 3 of our Privacy Policy.

8. Cancellation and refunds

You can cancel at any time, yourself, from within your account settings. Cancellation is self-service and does not require contacting us.

Cancelling stops the next renewal; it does not shorten the period you have already paid for. A monthly subscription runs to the end of that month, and an annual subscription runs to the end of that year.

Refunds: 14 days. You can request a refund within 14 days of any charge, including a renewal. Contact us at the address at the end of this section, or contact Paddle, our merchant of record, directly. Refund requests are handled by Paddle under Paddle's refund policy, and refunds are made to the original payment method. When a refund is issued, access for the period it covered ends at the end of that day in your own time zone (in UTC, if we do not know your time zone).

During the 14-day free trial you can cancel and pay nothing at all.

What happens when a subscription ends. From the moment your access ends there is no access to the application itself. For the following 60 days, signing in shows a single screen from which you can either choose a plan or download your data — an Excel export and a full backup file, and a ZIP of your stored files. We email you when the subscription ends and again 30 days and 7 days before the 60 days are up. At the end of the 60 days your cloud copy, its restore points and your stored files are permanently deleted; after that, signing in offers only the choice of a plan, as for a new user. Data held in your own browser is never touched by us. Deleting your account deletes the cloud copy and files immediately (Section 12).

If you were charged in error, email startup@startupscompass.com and we will put it right.

9. Acceptable use

You agree not to: use the Service for any unlawful purpose; enter or store another person's personal data (such as an investor's name, email, or phone number) in the Service without a lawful basis and the right to do so — see Section 6 for how responsibility for that data works; attempt to gain unauthorized access to our systems or another user's account or data; reverse-engineer, scrape, or resell the Service without our permission; interfere with or disrupt the Service's operation; upload malicious code; or misrepresent your identity or company affiliation when registering. You also agree not to use the Service, including emails it prepares for you, to send unsolicited commercial or bulk messages, or messages you are not permitted to send.

10. Not professional advice

Startups Compass is a planning and management tool only. Nothing in the app or on this site constitutes legal, financial, tax, or investment advice. Cap table and dilution calculations are approximations based on the inputs you provide and standard simplified assumptions — actual SAFE, convertible note, option pool, and term sheet mechanics vary by agreement and jurisdiction. Always consult a qualified lawyer or accountant before relying on these numbers for an actual transaction. Startups Compass is not a registered broker-dealer, investment advisor, or equity crowdfunding platform. The Service and its outputs (including cap tables, dilution calculations, and exit waterfalls) are intended for your own internal planning and understanding only. You agree not to present any output of the Service to a third party — including investors, accelerators, lenders, or financial or legal advisors — as a verified, audited, or binding financial or legal document without independent verification by a qualified professional. We are not liable to you or to any third party for decisions made in reliance on Service outputs.

11. Intellectual property

The Startups Compass name, logo, branding, website, and application code are our property or used under license, and are protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes while your account is active. Your own business data that you enter into the app remains yours; we claim no ownership over it. You may not copy, modify, distribute, or create derivative works of the Service's code or interfaces, except as this license permits. "Startups Compass" and our logo are our trademarks; you may not use them without our prior written permission.

12. Suspension and termination

You may stop using the Service, or delete your account, at any time by contacting us. Accounts that stay inactive are deleted automatically, after advance notice by email where we have a confirmed address, as described in our Privacy Policy; accounts with an active subscription or free access period in force are never deleted for inactivity. We may suspend or terminate access to the Service for anyone who materially breaches these Terms (in particular Section 9), with notice where practical. Because your app data lives in your own browser, termination of your account does not, by itself, delete or affect data already stored locally on your device — you retain whatever local copies and backups you've made. If you had Cloud backup switched on, deleting your account permanently deletes the cloud copy and every restore point along with it — see Section 6.2. You can also erase them yourself beforehand, from inside the app, and either way you should export a local backup first if you want to keep the data.

13. Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. This includes the desktop app and its email connection: we do not warrant that they are compatible with your computer, operating system, email program or email accounts, that every email will be noticed or matched to the right investor, or that history entries or stage changes will be complete or accurate. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or business, arising from your use of or inability to use the Service — including data loss related to the local-only storage design described in Section 6. The cloud copy, the restore points and the cloud files are provided as a convenience: we are not liable for the loss of, damage to, or unavailability of App Data or files, whether in your browser or in the cloud, and keeping your own copies is your responsibility (Section 6). Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or 100 USD if you haven't paid us anything. These limitations apply only to the extent permitted by applicable law and do not exclude liability that cannot lawfully be limited or excluded (for example, in cases of gross negligence, willful misconduct, or personal injury). We are also not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, cyberattacks, government action, internet or infrastructure failures (including outages of our hosting, cloud, or payment providers), or public health emergencies.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: your violation of these Terms; your misuse of the Service; or any third party's reliance on Service outputs that you presented, shared, or disclosed to them (see Section 10); or any email you send or prepare using the Service, including its content, recipients and attachments. We'll give you prompt notice of any such claim and reasonably cooperate, at your expense, with your defense of it.

15. Changes to these Terms or the Service

We may update these Terms as the Service evolves — for example, when we change plans, prices or features. We'll update the "Last updated" date above when we do, and for material changes we'll make reasonable efforts to notify active users (for example, by email to your registered address and/or a notice on the site or in the app). Continued use of the Service after changes take effect means you accept the updated Terms. We retain prior versions of these Terms and will provide a copy on request.

16. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, Israel.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
